Terms of Service

1. Acceptance of Terms

By accessing or using the OOH Nepal platform, you agree to be bound by these Terms of Service. If you are using the platform on behalf of a company or entity, you represent that you have the authority to bind that entity to these terms.

2. Platform Role

OOH Nepal acts as a dual-purpose platform: a marketplace for advertisers to discover and book outdoor media, and a management system (BMS) for media owners to manage their assets. We facilitate the connection but are not a party to the independent lease agreements between advertisers and media owners.

3. Intellectual Property Rights

All content on the OOH Nepal platform, including but not limited to software code, design elements, maps, data visualizations, and the OOH Nepal trademark, is the exclusive property of OOH Nepal and Glow N Sign.

• License: We grant you a limited, non-transferable license to use the platform for its intended commercial purpose.
• Restrictions: You may not scrape data, reverse engineer the BMS, or use our analytics for competing services without express written consent.

4. Limitation of Liability

OOH Nepal provides a technology layer only. We are not liable for:

• Physical damage to billboards or signage.
• Loss of visibility due to external factors (weather, power outages, local government interventions).
• Loss of revenue resulting from incorrect inventory listing by a Media Owner.
• Direct or indirect damages exceeding the total service fees paid to OOH Nepal in the 12 months prior to the claim.

5. Payments & Refunds

Service fees for using the OOH Nepal platform are non-refundable unless otherwise specified in a separate service level agreement (SLA). Media owners are responsible for the accuracy of their bank details for automated payouts.

6. Dispute Resolution

These terms are governed by the laws of Nepal. Any dispute arising from the use of this platform shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

7. Termination

OOH Nepal reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent bookings, or infringe upon our intellectual property.
